摘要
本文从兼并溢价分配的角度，结合不同支付方式的约束条件，分析了在现金、换股、以及现金加换股混合支付条件下的兼并定价问题，得出了不同支付方式条件下兼并定价的一般模型。
From the standpoint of division of merger premium, we analyze the pricing problem of mergers with different medium of exchange, and develop three models of merger pricing with cash, stock and cash plus stock, which can be combined into one general model.We also apply the model to the discussion of corporate control and price negotiation in mergers with two examples.
