摘要
在公司法中,股东会是公司最高权力机关,但在现实生活中,对公司起决定性作用的却是董事会, 董事会良心如何、效率怎样,直接关系到公司的兴衰。这其中,董事如何选任,董事会如何组成,又是关系到董事 会效率的关键问题。我国公司在董事会组成、董事选任问题上,成熟的制度尚未形成,立法上和实践中有许多问 题亟须解决,将此问题与其他国家的立法情况进行比较研究,相信对我国董事制度的完善会有一定的借鉴意义。
Stockholders'conference, in company law, is the highest agency of power. However, the board of directors, in practice, plays a decisive role in a company's operation.
