The ESO is an effectively stimulating system for the enterprise, if the enterprise operate the ESO plans, the stockholders of the enterprise can encourage and restrict the top managers and the employees. Under this condition, manager will manage the enterprise carefully and avoid risks, the enterprise will be developed by good conditions. The thesis described the contents and operating conditions of the ESO plans deliberately, and analyzed the characters of the ESO plans that were used in Chinese enterprises.
