摘要
通过对我国目前的独立董事制度的深入思考和认识,对上市公司独立董事的选聘和激励方面提出了一些创新的思路,例如由监管机构直接为上市公司选聘独立董事、设立独立董事薪酬基金等,旨在进一步完善我国的独立董事制度,优化公司法人治理结构。
Based on a profound reflection on China's current independent director system, the paper puts forward some new ideas to innovate the system in regard to the selection and employment of the independent directors, and the establishment of incentive mechanism so as to optimize the structure of the corporate governance by legal person.
