摘要
本次《公司法》修改草案中, 有关董事注意义务的条款得以补充。本文以此为出发点, 比较了忠实义务与注意义务的不同, 分析了普通法判例中业务判断规则与董事注意义务之间的关系, 并论述了我国《公司法》修改中引入董事注意义务及业务判断规则的理论价值和现实意义。
Among the revision draft of the Company law,the relevant clause of a duty of care can be supplemented.Regarding this as the starting point,this text compares a fiduciary duty with a duty of care,and analyses the business judgment rule on common law legal precedent and director’s duty of care, and expounds the regular theory value and realistic meaning introducing a duty of care and business judgment rule while the Company law in revising.
