摘要
世界上大多数国家的公司法或相关法规都规定,股东或发起人可以专利权投资入股。我国《公司法》也规定,股东可以工业产权、非专利技术出资。作为工业产权一种的专利权可以成为公司成立时出资的一种方式是我国法律肯定的。但是专利使用权成为公司成立时股东出资的方式,则存在争议。
Corporation law or related laws of most countries in the word stipulate that the shareholders or initiators can invest to a corporation and become a shareholder by patent rights.Corporation law in China stipulates that the shareholders can invest to a corporation by industrial property rights and non -patent technology.The way to apply industrial property right.one of patent rights,to invest to a corporation upon its establishment is affirmed by laws in China.But the way to use the right of patent to invest to a company upon its setup is disputable.
