摘要
股份制经济是一种最适合市场经济客观要求的企业组织和制度形式,发达的市场经济国家已形成一整套经验、理论和制度。改革开放以来,我国对股份制经济的认识与实践经历了反对、怀疑、观望、认同和自发试验、自觉试点、逐步推广等多个发展过程。股份制经济的产生与发展,对我国经济微观基础的重构具有根本性的长远的影响,自觉地认识它的发展现状、面临问题、发展趋势以及相应的政策,具有十分重要的意义。本文的主要任务就是研究和探索这些重要问题。从广义上讲,股份制经济是这样一种经济单位,在这种经济单位中,投资者由两个或两个以上组成,投资者以其投资额对该经济单位负有限责任,该经济单位以所有投资者的投资对外承担法律责任。从中国股份制经济发展的历史和现状看,这样的经济单位既包括典型的股份制企业,即有限责任公司和股份有限公司,也包括广泛存在的各种股份合作制企业。本文的研究对象是典型的股份制企业。只是在阐述股份制经济的最初历史发展时,才涉及股份合作经济。
The share - holding system is a kind of system suitable to the demands of market e-conomy countries have formed a complete set of experience, theories and systems. Since the carrying out of the Reform and Opening -up, our practice and recognizing of the shareholding system has gone through a process of objection, doubt, stand -by seeing, recognizing, experiencing and practicing. The emerging and developing of the share-holding system has a long -term impact on the formation of our economy. So it's of great significance for us to see clearly the current situation, problems and prospective of this kind of system. The main task of this thesis is to study and probe into these important questions. In a broad sense, the share - holding system is such a kind of economic unit in which investors are composed of two or more than two and investors share corresponding responsibilities according to their shares. The studying objective of this article is the typical share -holding enterprise.
