摘要
本文在分析两大法系公司代表制度法理的基础上,通过比较国外立法,对我国新《公司法》关于公司法定代表人制度的规定进行评价,提出应完善我国法人代表的选任制度,建立董事会成员共同代表和公司章程自由变更相结合的代表制度。
The article analyzes the legal theory of the system of corporation representatives in the two law departments. it evaluates the new Law of Corporation about the rules on the system of corporation representatives in our country by comparing with the foreign legislation. It puts forward that we should perfect the system of empanelling corporation representatives and establish the system of being represented by the directorate members and the free alteration of the company＇s constitutions.
