摘要
根据知识资源的控制权和交易维持的期限,将合作创新的组织模式分为技术许可、技术外包、战略联盟和并购4种类型,并在此基础上,建立了一个基于不完全合约理论的模型.通过该模型分析知识外溢对合作创新组织模式选择的影响,结果表明,当知识外溢较大时,长期合约比短期合约有利于合作创新,并且战略联盟模式替代并购模式成为比较稳定的组织模式;长期合约关系带来的总收益越低,取得收益的风险越大,长期合约的稳定性就越差.
From the two dimensions of control right on knowledge asset and deal duration, this paper classified organizational forms for cooperative innovation into four kinds, license, outsourcing, strategic alliance and acquisition. Based on the incomplete contract theory, a model was put forth and the effect of knowledge spillover on organizational form choice was analyzed. It is concluded when knowledge spillover is larger, long term contract is more conductive to cooperative innovation than short term contract, and strategic alliance would be more stable than acquisition; the lower total revenue and the larger variance, the less stable long term contract becomes.
