摘要
经理权具有权力特征,容易遭到滥用。传统内部约束方法存在一定局限性,应发掘和适用市场外部竞争机制规制经理权滥用。经理权的市场约束机制应通过民事法予以规范化。
Manager's right is provided with the typical character of power, and it is often abused in practice. The traditional inner methods have some limits to bind the power. We should explore and apply external competitive mechanisms to regulate the abuse of manager's power, and concretely change the mechanism into civil law provision.
