摘要
我国独立学院的法人治理结构的完善和规范是独立学院持续发展的保障,是其提高管理水平和教育质量的关键。我国独立学院正处于蓬勃发展的阶段,然而其法人治理结构的现实状况非想像中的那么乐观,比如:缺乏政府合理的调控,办学缺乏特色与独立性,投资主体单一,董事会功能缺失等等。针对上述存在的问题,本文参考公司法人治理结构中的某些成功经验,并由此提出改善和规范我国独立学院的法人治理结构的有效对策。
The improving and standardizing of the corporate governance structure is the safeguard of the sustainable development of independent colleges, and is the key to raise the level of management and the quality of education. Inde- pendent college is in the vigorous development stage, but its reality of the corporate governance structure is not as opti- mistic as it imagines, such as： the lack of reasonable regulation and control, the lack of operating characteristics and in- dependence, the single investment, the malfunction of Board, and so on. In response to these existing problems, the pa- per refers to some successful experiences of corporate governance structure, thus proposes the effective countermeasures to improve and standardize it.
