摘要
迄今为止,我们并未认真地对公司法进行政治解释。纯粹的法律解释或者交错的经济解释在公司法领域一直非常流行,但对法律实效的理解未必十分有效。对公司法的若干结构诸如公司法的立法结构、公司法中的官商关系、公司治理中的政治权力因素以及公司法执行的政治影响等的粗略观察表明,公司法是有其政治基础的。要相对准确地预测和理解公司法的现实与未来,需要对公司法的政治约束予以关注。在一定程度上,政治结构影响乃至决定了公司法的文本构造。
Until now we have not done any serious political analysis about company law. We are used to applying economic methods to understand company law, but it is not always useful. When we examine the legal structure of company law,the relationship of government and commerce in the company law, the political power among the cooperate governance and the execution of company law, etc., we discover that company law has its political foundations. If we want to understand the reality of company law and predict its future well, we should pay close attention to the political constraints on the company law. It is the political structure which affects or determines the company law to a certain extent.
