摘要
监事会对公司财务以及公司董事、经理和其他高级管理人员履行职责的合法合规性进行有效监督,对维护公司及股东的合法权益起着极其重要的作用。法律、法规规定模糊,监事会不独立、地位较低以及知情权得不到保障等诸多因素的影响,使得监事会实际上成为一个受到董事会控制的议事机构,没能有效行使对公司经营者的监督权。上市公司应从以下几个方面强化监事会的独立性与监督作用:完善监事的任职资格、改善上市公司监事会成员构成、保障监事的知情权与检查权、提高监事会在公司中的地位以及建立对监事的激励与约束机制。
It is true that if the Board of Supervisors fulfill the legal duties of effective monitoring to finance department, directors, managers and other senior position personnel in the corporate, it will play an important role in maintaining the legitimate interests of the company and shareholders. Due to laws and regulations fuzzy, the Board of Supervisors is not independent, low position and lack of protection of the right in corporation, it seems that Board of supervisors has become a consulting organization controlled by the Board, as a result, it fails to exercise effective oversight of the company＇ s right. In order to perform effective supervision, the corporation in Henan should follow the following measures to enhance independent and supervisory role of the Board of Supervisors： perfecting supervisors＇ qualification, improving membership structure of the Board of Supervisors, protecting their knowing and inspection rights, raising their position in the company and establishing incentive and restraint mechanisms to the supervisors.
