摘要
投资者适当性作为海外成熟资本市场普遍存在的重要监管规则,通过调整证券金融机构的金融产品销售行为,保护投资者的利益。适当性源于上世纪美国的自律组织规范,现已发展为监管规则并成为证券经纪商应承担的重要义务。此后,欧盟、日本以及我国香港资本市场相继在立法中确立适当性规则以保护投资者。上述立法例为我国《证券法》修改提供了全新的理念和思路。本文在系统梳理、分析域外经验的基础上,展开构建我国法中适当性规则的有益探索。
As a common regulatory doctrine in abroad capital markets, the subjects of the investor suitability are to regulate the securities companies' sales practices and to protect the investors' interests. It came from the American self-regulatory organization rule, and then became one of the significant obligations of the broker-dealer. In the 21st century, EU, Japan and Hong Kong developed their own suitability rules successively, which put forward a new idea for the Securities Act's amendment. This article investigates the regulation of the investor suitability in the China' Securities Act.
