摘要
竞业禁止是保护雇主商业秘密的一种有效措施。但雇主与雇员签订竞业禁止协议,必然会限制雇员的自由择业权,甚至会影响其生存权这一宪法规定的基本权利。因此,我们应当依法慎重判断竞业禁止协议的效力。然而,我国有关竞业禁止协议的法律规定甚少,从而导致法院在确认协议的效力时缺乏统一的认识和明确的法律依据,因此有必要借鉴国外的立法和实践,对我国的相关制度进行完善。
The prohibition of business strife agreement is an effective measure to protect the business secret.But it will limit the employee's right of free choice,even affects his survival,which is a basic constitutional right.Therefore,we shall be very careful in judging the effectiveness of prohibition of business strife agreement.However,there are no specific regulations on these criterions in our legislature,which make it difficult to decide in legal practices.So it is necessary for us to draw lessons from foreign legislations and practices,and improve our country's relevant system.
