摘要
公司僵局在我国实践中经常发生,虽然2005年修订的《公司法》对解决公司僵局提供了司法解散途径,但立法规定途径单一、操作性不强。本文分别从事先预防和事后救济两方面论述打破公司僵局的路径:事先预防体现在公司章程规定中,主要介绍对于表决权机制的合理设置;事后救济体现在司法介入上,建议在维持公司商事主体资格优先原则下,应适当引进强制收购股权机制、股东退出机制以及慎用公司解散机制。本文期望能对完善我国公司僵局制度有所裨益。
Company deadlock is frequently occurred in China.Although the Company Law which is revised in 2005 provides the judicial ways to solve company deadlock,the legislation means is single,and its interoperability is not strong.This paper discussed the path to break the company deadlock from the prior prevention and afterwards relief.The prior prevention reflected in the company’s rules which mainly introduce the reasonable setting of voting mechanism;afterwards relief embodied in the judicial intervention which suggests introducing compulsory acquisition mechanism,shareholders equity exit mechanism and using the company dissolution mechanism under the principle of maintenance of commercial main body qualifications priority.This text expects to be able to perfect our country company deadlock system.
