摘要
从家族企业的概念、权力结构、代理特性、非正式契约、代际传承和演进路径对家族企业公司治理的研究进行了综述,介绍了国内和国外对这些问题的研究成果,并结合我国传统文化和现实国情对有关理论进行了评论和思考。
Family business is the enterprise organization form with family management features and with significant structure clearly distinguished from general corporate governance. This paper reviews the corporate governance of family business from the concept of family business, the power structure, agency characteristics, informal contracts, intergeneratlonal inheritance and the family business evolution path, and introduces domestic and foreign research on these issues. And the essay gives the comments and reflections on the family business theory combined with our traditional culture and the actual situation.
