摘要
股权众筹是互联网时代推动创业创新的一种重要融资手段,对于小微金融的发展,以及多层次资本市场的建设具有非常重要的意义。中、美股权众筹平台的比较分析显示,我国的股权众筹存在合法性缺乏、股东人数限制、小股东保护不力,以及公司治理机制不够健全等问题与障碍。本文对上述问题与障碍做了分析,并提出了优化股权众筹在我国的发展环境的政策性建议。
This paper considers that equity crowdfunding is an important means of financing which helps promoting innovation and entrepreneurship in the Internet age. Crowdfunding also has crucial significance to smallmicro financing development,as well as the construction of a multi-level capital market. However,yet there are many problems in Equity crowdfunding in China. Obstacles include lacking of legitimacy,restrictions on the number of shareholders,weak protection for small shareholders,and imperfect corporate governance mechanism. This paper makes a deep analysis on the above problems and obstacles,and puts forward policy recommendations which suggest optimizing development environment for equity crowdfunding in China.
