摘要
对于正在演进的日本公司治理,可从金融资本与人力资本的效率实现条件以及二者博弈关系角度来解释其变革动因与作用机制,说明两类资本应用体制变革的不同效果以及多元化治理类型的形成。研究得出,市场化融资与改进的终身雇佣相融合的企业适应了两类资本发挥效率的条件,并形成相对稳固的均衡。这一公司治理类型在保留组织协调优势的同时,更强化了市场竞争优势,显示出良好的公司治理绩效,有可能成为未来变革的主要方向。
This paper explains the reform motivation and mechanism of Japan's corporate governance from the views of the conditions of efficiency and game relationship of financial capital and human capital in enterprises to illustrate different reform effects of two kinds of corporate governance systems and how the diversification of corporate governance constitutes. The results show that the enterprise which combines market - based financing and improved life - time employment could adapt to the efficiency condition of two kinds of capital and formed relative - stable equilibrium. This type of corporate governance has showed the better performance due to both keep the market competition advantage and the organization and coordination advantage. Furthermore, this governance - type will possibly become the main trend of changes in the future.
