摘要
基于知识转移与路径依赖等相关理论,以A股上市民营企业为样本进行分析,揭示了民营企业创始人特质与公司治理机制完善程度在企业是否选择引入职业经理人方面所发挥的关键作用。研究结果表明,民营企业的创始人特质阻碍了企业引入职业经理人的决策。在此基础上,验证了民营企业的公司治理机制完善程度对创始人特质与引入职业经理人之间相关关系的正向调节作用,说明企业完善的公司治理机制能够显著削弱创始人特质对聘用职业经理人的阻碍作用。研究结论拓展了关于创始人特质和职业经理人引入的相关理论,对民营企业由家族治理向职业化经营转型具有一定的指导意义。
It was noticed that the founder characteristic and the formalization of corporate governance mechanism of a private company played a pivotal role in its selection of leadership succession pattern.Based on the empirical study of Chinese listed private companies,we found that the founder characteristic of a private company negative relates with its decision to employ professional managers.Furthermore,we found that the formalization of corporate governance mechanism has up-regulated effects to negative correlation between founder characteristic and professional manager succession.A private company can significantly reduce the negative effects of founder characteristic upon professional manager succession by improving its formalization of corporate governance.
