摘要
随着中国成为双向投资大国,中国投资者起诉东道国和中国政府被诉的国际投资仲裁案件时有发生,并可能加速增长。对国际投资仲裁中的涉华案例进行研究后,我们认为应重新审视和评估中国在吸收外国投资和保护对外投资两方面的利益,建议今后在新签署或更新中外双边投资协定(BIT)时考虑如下问题:(1)对港澳投资者问题以及中外BIT是否延伸适用于港澳作出规定;(2)对新旧BIT之间的适用问题予以更多重视;(3)尽可能明确最惠国待遇条款仅限于适用于实体问题,以免仲裁庭扩大自由裁量权;(4)高度关注投资者—东道国争端解决机制,坚持单一BIT范本原则,将不可仲裁事项中纳入例外条款,适度强化中外BIT对东道国法的补充和纠正作用,相对缩小用尽行政复议程序的争端范围。
As China has become both as a host state and as a home state,international investment arbitration cases that Chinese investors sue host state governments and cases that the Chinese government is sued by foreign investors may accelerate dramatically in the coming years. After making the research on international investment arbitration cases involvement with China,we believe that China should reconsider and evaluate the interests of China in absorbing foreign investment and protecting outbound investment,and suggest that China should consider and improve the following aspects when it concludes or upgrades Chinese-foreign bilateral investment treaties( "BITs") with other states in the future:( 1) to make provisions on Hong Kong investors and Macao investors and to clarify whether Chinese-foreign BITs can be applied to Hong Kong Special Administrative Region and Macao Special Administrative Region;(2) to pay more attention to the application of the previous and new BITs during the transition period;(3) to make it as clear as possible that the most-favored-nation(MFN) treatment provision is limited to substantive matters to prevent a tribunal abusing its discretion;(4) to highlight the importance of investor-state dispute settlement mechanism and China should adhere to a unified model BIT,adopt exceptional matters into the scope of nonarbitrated disputes,strengthen moderately complementary and corrective functions of Chinese-foreign BITs on domestic laws of host states,and relatively narrow the scope of disputes that must exhaust administrative reconsideration procedures of host states before they are submitted to international investment arbitrations.
