摘要
中国特色现代国有企业制度,“特”就特在把党的领导融入公司治理各环节,把企业党组织内嵌到公司治理结构中。十八大以来,“讨论前置”决策机制是党组织内嵌公司治理结构最重要的制度安排,已在大多数国有企业落地。基于经验材料,文章系统分析“讨论前置”的历史脉络、实践困境、制度目标,探讨制度设计方案,并从整体上论述了其对国有企业改革和国有企业党的建设的意义。
Integrating Party leadership and organizations with corporate governance was a characteristic of the Chinese modem SOE system. Since the 18th CPC National Congress, the upfront discussion decision - making mechanism was the most important institutional arrangement in this field. Based on empirical materiel, this article analyzes the history, practical predicaments and institutional goal of upfront discussion, discusses institutional designs, and interprets their macro - significance on SOE reform and Party building.
