摘要
美国版权法将独占许可视为所有权的一种,有学者认为这代表着独占被许可人可以不经权利人同意自行再转让或再许可。本文认为许可本身就意味着许可人人保留了对于被许可权利的持续控制,这是许可与转让的本质不同。本文从英美财产法理论出发,论证英美财产法下的所有权概念不必然代表着无限制的权利。本文从基础理论及利益衡量两个角度,论证了著作权独占许可在默认状态(合同未明确约定的情况)下不具有可转让性。
The U.S.copyright law treats exclusive licensing as a form of ownership.Some scholars believe that this means that an exclusive licensee can transfer or re-license itself without the consent of the right holder.This article argues that licensing itself means that the licensee retains continuous control over the licensed rights,which is the essence of licensing and transfer.This article starts from the Anglo-American theory of property law and argues that the concept of ownership under the Anglo-American property law does not necessarily represent an unfettered right.Based on basic legal theory and benefi t measurement,this paper demonstrates that copyright exclusive licenses are not transferable under the default status.
