集体土地与国家矿产混合所有制的构建

摘要 国有矿产与集体土地的产权融合,属于不同所有权混合与集体土地入市的复合性改革。矿产资源和矿业用地均由国家垄断供给的国有矿山企业,需要向非国有资本市场开放;集体建设用地不再征收为国有而直接融入,由集体和农户带着土地产权入股矿山企业。可流转产权加上政府管制,通过交易许可的"增减挂钩"方式获取农地,土地所有者、使用权人以及业主等多方分配入股收益。不同所有权的资本结构决定多元产权主体的企业治理新形式:股份制附加合作制。入股、分红与治理机制等,经过谈判形成人力资本与非人力资本的特别合约,关键是按《公司法》构建企业治理结构和治理机制。 The amalgamation of the property rights of state-owned mineral resources and collective land belongs to the compound reform of different ownership mixing and collective land entering the market.State-owned mining enterprises that both supply mineral resources and mining land by state monopolies need to open to non-state-owned capital markets.Collective construction land is no longer expropriation for state-owned enterprises,and the collective and peasant households take the land property rights into the mining enterprises.Transferable property rights plus government control,through trading permits“increase or decrease link”way to obtain agricultural land,land owners,users and owners and other multi-share income.The capital structure of different ownership determines a new form of corporate governance of multi-property rights subject:Joint-stock additional cooperative system.Shares,dividends and governance mechanisms,after negotiations which is formed a special contract of human capital and non-human capital,the key is to establish the corporate governance structure and governance mechanism according to the“Company Law”.
