摘要
研究目的:针对在深化国有企业改革中,国有控股公司的治理结构理论研究较为薄弱的问题,本文通过对有代表性的国有控股建筑企业章程和治理实践的研究,分析国有控股企业公司治理结构创新方面的共性特征;构建"四主体"治理结构模型和公司治理效能路径模型,分析国有控股企业治理结构的运行机制,揭示构建嵌入式公司治理结构的基本规律。研究结论:(1)处于行业龙头地位的国有控股建筑企业已经建立起比较规范的嵌入式公司治理结构;(2)国有控股建筑企业治理结构设置拥有三项共性特征,可视为国有控股企业嵌入式治理结构的基本特征;(3)嵌入式公司治理结构设置对公司治理效能产生直接和间接的双重影响,影响的大小与党组织履行职责的力度等因素相关;(4)本研究成果可为国有企业改革和国有控股公司治理结构建设提供参考。
Research purposes: In view of the weakness of the theoretical research on the governance structure of state-owned holding companies in the reform of state-owned enterprises,this paper analyses the common characteristics of the innovation of corporate governance structure of state-owned holding enterprises by studying the charter and governance practice of representative state-owned holding construction enterprises. This paper constructs the " four subjects" governance structure model and corporate governance efficiency path model,analyses the operation mechanism of the governance structure of state-owned holding enterprises,and reveals the basic law of the construction of embedded corporate governance structure.Research conclusions:( 1) State-owned holding construction enterprises,which are in the leading position in the industry,have established a relatively standardized embedded corporate governance structure;( 2) The governance structure of state-owned holding construction enterprises has three common characteristics,which can be regarded as the basic characteristics of the embedded governance structure of state-owned holding enterprises;( 3) Embedded corporate governance structure has a direct and indirect dual impact on corporate governance effectiveness,and the impact is related to factors such as the strength of Party organizations to perform their duties;( 4) The research results can provide reference for the reform of state-owned enterprises and the construction of corporate governance structure of state-owned holding companies.
