摘要
新常态下,国家立法应当树立通过《商法通则》优化营商环境的意识,将革新商事制度的实践一体纳入法治化轨道,逐步实现由政策驱动向法律主导的转变。《商法通则》应当以“企业”为基础概念整合商事主体体系,以企业组织形态为标准改革商事主体登记制度;完善营业财产登记制度,审慎界定公共商事活动中的公共利益,防止不合理的公共服务收费,升级营业财产保护制度;在保护交易自由和交易安全的基础上,规制商事主体的竞争行为,拓补商事交易规制制度。
Under the new normal,national legislation should establish a business environment optimization awareness through the General Rules of Commercial Law,integrate the commercial system innovation practice into the rule of law,and gradually realize the transition from policy-driven to law-led.The General Rules of Commercial Law should integrate the business subject system with the concept of“enterprise”,and reform the registration system of commercial entities with the corporate organizational form as the standard;improve the business property registration system,carefully define the public interest in public commercial activities,and prevent unreasonable public service charges,upgrade the business property protection system;on the basis of protecting the freedom of transactions and transaction security,regulate the competitive behavior of commercial entities,expand the regulation system of commercial transactions.
