摘要
数字经济时代互联网平台因为其网络外部性和双边市场的特性快速发展。大型互联网平台经历了从依靠创新开辟市场,到使用"价格战"抢占市场,再到利用并购拓宽市场的过程。然而,互联网平台的并购行为因数字市场的特点存在反竞争风险,其中初创企业并购可能消除竞争和创新,而跨领域并购则强化了互联网平台的市场力量。现行反垄断法经营者集中制度在规制互联网平台并购行为时存在着申报标准不合理、竞争效果评估困难和处罚力度过小等诸多挑战。为了应对这些挑战,我们应当从立法层面建立综合性申报标准、推定互联网支配地位企业并购行为违法制度和提高处罚力度,在执法层面革新竞争效果评估方法,以完善互联网平台经营者集中控制制度。
In the era of digital economy,Internet platform develops rapidly because of its network externality and the characteristics of two-sided market.The large-scale Internet platform has gone through the process from relying on innovation to opening up the market,to seizing the market by“price war”,and then to expanding the market by M&-A.However,due to the characteristics of the digital market,there are anti-competitive risks in the M&A of Internet platforms.The M&-A of start-ups may eliminate competition and innovation,while cross-domain M&-A strengthens the market power of Internet platforms.There are many challenges in the current anti-monopoly concentration system,such as unreasonable declaration standard,difficulty in evaluating competition effect and too little punishment.In order to deal with these challenges,we should establish a comprehensive declaration standard and a system of presuming illegal M&-A behavior of Internet dominant enterprises?increase the intensity of punishment from the legislative perspective,and reform the evaluation method of competition effect at the law enforcement level,so as to improve the centralized control system of Internet platform operators.
