摘要
企业主动构建有效的合规管理制度需要以搭建完善的企业刑事合规评价机制(刑事激励措施)为前提条件。当前企业刑事合规评价机制的搭建仅存在于刑事程序性方面,将企业刑事合规评价融入犯罪论体系,一方面意在为企业合规管理制度在刑法教义层面寻求到恰当的位置,使得该制度在刑事法框架内良性运转;另一方面也有助于为程序性企业刑事合规评价措施提供实体法基础,也即在实体法层面分析刑事合规评价制度的正当性根基。
To build an effective compliance management system,corporation need to build a perfect criminal compliance evaluation mechanism(Criminal incentive measures)as the prerequisite.At present,the establishment of corporation criminal compliance evaluation mechanism only exists in the aspect of criminal procedure.Integrating corporation criminal compliance evaluation into the criminal theory system aims to find an appropriate position for corporation compliance management system at the level of criminal law doctrine,so as to make the system operate well within the framework of criminal law;on the other hand,it also helps to provide substantive law basis for procedural corporation criminal compliance evaluation measures,that is,to analyze the legitimacy foundation of criminal compliance evaluation system at the substantive law level.
