摘要
为了顺应内地与香港地区商事主体在破产领域日益增长的法治需求,最高人民法院与香港特别行政区于2021年5月14日签署了《关于内地与香港特别行政区法院相互认可和协助破产程序的会谈纪要》,并就两地跨境破产合作事宜分别发布了指导意见和实用指南。这些举措对构建两地跨境破产合作机制无疑具有里程碑式的现实意义。上述文件由于在司法实践的贯彻实施过程中尚存有一些问题,仅是解决两地跨境破产合作机制的权宜之计。从长远看,两地应从各自的实际出发,借鉴《联合国跨境破产示范法》,共同签署跨境破产合作的司法协助安排,以便平等保护两地债权人,实现破产财产价值的最大化。
In order to meet the increasing needs of the China's Mainland and Hong Kong region commercial entities in the field of bankruptcy, the Supreme People’s Court of People’s Republic of China and the Hong Kong Special Administrative Region signed the Record of Meeting of the Supreme People’s Court of People’s Republic of China and the Government of the Hong Kong Special Administrative Region and Mutual Recognition of and Assistance to Bankruptcy(Insolvency) Proceedings between the Court of the China's Mainland and Hong Kong Special Administrative Region, and issued Opinion on taking forward a pilot measure in relation to Recognition and Assistance to Bankruptcy(Insolvency) Proceedings in the Hong Kong Special Administrative Region. These measures undoubtedly have a landmark practical significance for the construction of a cross-border bankruptcy cooperation mechanism between the China's Mainland and Hong Kong region. However, that the above-mentioned documents are only an expedient solution to solve the cross-border bankruptcy cooperation mechanism between the China's Mainland and Hong Kong region, because there are still some problems in judicial practice. From a long-term perspective, the China's Mainland and Hong Kong region should proceed from their own reality and learn from the United Nations Model Law on Cross-border Insolvency to jointly sign cross-border insolvency cooperation judicial assistance arrangements in order to equally protect creditors in the two places and maximize the value of bankruptcy assets.
