摘要
突然爆发的疫情及相关防控措施对大量国际商事合同的履行造成严重影响。一旦合同因故无法履行,首先应考察合同的不可抗力条款,其次需对合同进行识别,以确定合同准据法。中国法、《联合国国际货物销售合同公约》(CISG)和《美国统一商法典》(UCC)对不可抗力的规定不一,合同当事方应当根据具体情况灵活应对,提出免责主张以避免损失。
The sudden outbreak of epidemic and the related prevention and control measures have a serious impact on large number of international commercial contracts.Once a contract cannot be performed as promised,the force majeure clause of the contract should be examined firstly.Then the contract needs to be identified in order to determine the law governing the contract.The provisions of force majeure in Chinese law,the United Nations Convention on Contracts for the International Sale of Goods(CISG)and the United States Uniform Commercial Code(UCC)are different,thus the parties should respond properly to claim exemptions to avoid losses.
