摘要
基于企业专用性人力资本理论,结合收集的2000-2011年沪市上市403家公司数据,对上市公司高管的更换原因、更换方式进行研究后得知:高管更换主要的影响因素是制度因素和环境因素,高管更换的方式主要为内部更换和外部更换。总结高管更换方式与公司绩效关系,就董事长不同更换方式、总经理不同更换方式对公司绩效的影响进行比较研究得出结论:采用高管内部更换的公司绩效总体上而言要比高管外部更换的公司绩效要好。应该控制高管更换频率,建立健全上市公司内部劳动力市场等去进行高管更换与培养。
