摘要
中国国有经济布局和结构的调整中,管理层收购作为国有企业产权制度改革的有效形式之一,已成为国有资本退出的一种手段,用以解决国有企业产权虚置和所有者缺位的问题。要把握MBO的有效运作,并用法规制度规范MBO,有必要从理论上对MBO进行正确的认识。
During the procedure of adjusting of state economic distribution and structure in China, Management Buy-Out is an efficient method to reform state enterprises' ownership system. MBO is an instrumentality to lessen state capital in order to resolve of unsure setting and proprietor absent phenomen1 of state enterprises. It is necessary to comprehend MBO theory correctly in order to implement and standardize MBO efficiently.
